Coach Poppy Project Terms and Conditions

By embedding the “Poppy Project” code onto your blog/website, you agree to the following Terms & Conditions:

1) You shall embed the code as provided via this download as directed on poppyproject.coach.com/register.

2) You understand and acknowledge that the embedding of the code is voluntary and you shall receive no payment or remuneration of any kind.

3) You understand and acknowledge that by embedding the code your site shall become part of the The Poppy Project’s “network” and your site shall be listed along with all of participating sites on poppyproject.coach.com and that visitors will be able to navigate to your site from poppyproject.coach.com or other sites in the network.

4) You understand and acknowledge that by embedding the code you shall be automatically entered into The Coach Poppy Project contest. Details regarding said contest and the official rules can be located here poppyproject.coach.com/rules.

5) You may withdraw from participation in The Poppy Project’s network at any time by deleting the embedded code from your site. You understand that withdrawal from the network will also withdraw you from participation in The Coach Poppy Project contest and you will no longer be eligible for any prizes.

6) POKE New York and/or Coach, Inc. shall have the right to refuse to allow you to embed the code or participate in The Poppy Project’s network for any reason. Further, POKE New York and/or Coach, Inc. shall have the right to remove your site from The Poppy Project’s network and/or disable the embedded code at any time for any reason without notice. Your removal from the network will also remove you from participation in The Coach Poppy Project contest and you will no longer be eligible for any prizes.

7) COACH ® and POPPY ® are registered trademarks of Coach, Inc. All trademarks and copyrighted material supplied to you either directly or indirectly by Coach, Inc. remain the sole and exclusive property of Coach, Inc. and are furnished to you on a limited and temporary basis, solely for the purpose of your participation in The Poppy Project. All goodwill accruing on the usage of said marks and copyrights shall immediately and permanently vest in Coach, Inc.

8) You shall not mortgage, pledge, or otherwise encumber the code nor sell, assign, distribute, lend, rent, give, or otherwise transfer the code to any other person or organization. You shall not alter, decompile, reverse assemble, reverse engineer, or otherwise modify the code.

9) YOU UNDERSTAND THAT THE CODE IS PROVIDED "AS IS." NEITHER POKE NEW YORK NOR COACH, INC. MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO THE CODE AND SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

10) NEITHER POKE NEW YORK NOR COACH, INC. SHALL BE LIABLE FOR ANY PROPERTY DAMAGE, PERSONAL INJURY, LOSS OF PROFITS, LOSS OF DATA, INTERRUPTION OF BUSINESS, OR FOR ANY OTHER SPECIAL, CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR OTHER SIMILAR DAMAGES, HOWEVER CAUSED, WHETHER FOR BREACH OF WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY OR OTHERWISE, EVEN IF POKE NEW YORK OR COACH, INC. HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11) This agreement shall be governed by and construed in accordance with the laws of the State of New York, and the parties acknowledge and consent to the exclusive jurisdiction of federal and state courts sitting in the State of New York for the adjudication of any disputes arising hereunder.
